1. GENERAL ASPECTS These General Purchase Conditions ("General Conditions") constitute the regulatory framework for the purchase of various products and/or services (hereinafter, the "Products") offered by HELVERSONS SWISS BIOLABS SARL (hereinafter, "IANNUA" or the "Company") to its customers through the website: http://www.iannua.com/ (hereinafter, the "Website").

The person making a purchase through the Website (hereinafter, the "Customer") expressly accepts and submits to these General Conditions, as well as to the Terms of Use of our Website and the Privacy Policy, which, together, will form the applicable agreement between HELVERSONS SWISS BIOLABS SARL and the Customer (hereinafter, the "Agreement"). Therefore, it is necessary to carefully read these General Conditions before placing an order for Products online through the Website.

The Customer acknowledges having sufficient legal capacity to enter into contractual obligations.

3. CUSTOMER REQUIREMENTS FOR CONTRACTING Only customers who meet the following criteria may register on the Website and purchase Products:

IANNUA reserves the right to deny registration or the purchase of Products or immediately terminate the Agreement with a Customer if they do not meet the age requirements.

3.2 Technical requirements; Interoperability.

To use the Website and purchase Products, the Customer needs internet access and connection.

4. DESCRIPTION AND AVAILABILITY OF PRODUCTS HELVERSONS SWISS BIOLABS SARL, through this Website, offers its Customers the opportunity to purchase products and/or services, with the main characteristics specified on the Website for each Product.

All Products listed in the catalog for sale on the Website are subject to availability. Therefore, it is possible that some of the Products listed may no longer be available for sale. However, to the extent possible, unavailability will be indicated on the Website.

In cases where, after the purchase, the purchased Product is unavailable, the Customer will be duly informed. They will be offered a Product with similar or superior characteristics, price, and quality to the one purchased.

The Customer can decide whether to accept the alternative Product. In case of refusal, information on the procedures and timelines for refunding the amounts paid will be provided. The Customer does not have the right to claim any additional amounts.

Additionally, IANNUA may, due to exceptional or external circumstances, reject an order. In this case, the Customer will be contacted as soon as possible through any of the contact channels provided when placing the order. They will be offered substitute Products or those with similar characteristics to the ordered ones.

The Customer understands and accepts that the photographs and descriptions of the Products are included for informational purposes only. Therefore, they may differ in color or have other minor variations compared to the original Product.

IANNUA reserves the right to replace, modify, expand, or reduce the catalog of Products offered through this Website.

5. PURCHASE PROCESS The process for purchasing Products on the Website will generally consist of the following steps:

  1. Through the Website, the Customer must choose and select the Product(s) they want to purchase.
  2. During the purchase process, the steps to complete the purchase will be indicated.
  3. If this is the Customer's first time purchasing through the Website, to process the order, they must either register as a User of IANNUA or continue the purchase process as a guest.
  4. To complete registration as a User of IANNUA or to complete the purchase of the Product(s) as a guest, certain personal data will be requested. This data will be processed in accordance with the Privacy Policy.
  5. To validate the access credentials, IANNUA will send a link to the email provided by the Customer to confirm their registration and validate the email address.
  6. If the Customer has registered previously, they can log in to their account or User Profile by entering the username and password chosen during registration.
  7. Through their account or User Profile, the Customer can manage the information available, modify or update their data, and view previous orders on our Website.
  8. Before proceeding to payment, the Customer can check the order details, and the final price will be calculated. The General Conditions, which must be accepted to complete the purchase, can also be accessed.
  9. Once the General Conditions are accepted, the mechanisms for payment will be provided based on the chosen payment method.
  10. After payment is made, IANNUA will proceed to manage the preparation and delivery of the order. The Customer will receive a confirmation of the purchase via email, including all payment details and instructions to track the order until delivery.

6. FORM AND CONDITIONS OF PAYMENT

6.1 Price The price of the Products will be as indicated on the Website at any given time. The price applied to the Products will be the one in effect at the time of the actual purchase.

IANNUA reserves the right to modify prices at any time and to apply, modify, limit, or terminate any discounts in accordance with the rules and limits established by applicable law, if any.

Products offered on this Website may be subject to the Applicable Value Added Tax (VAT) or other similar tax.

All Product prices indicated on the IANNUA Website exclude Swiss VAT for orders delivered to countries in the European Union. The Customer may be subject to import taxes and/or the VAT of their country of residence.

These taxes and/or local VAT are NOT INCLUDED in the prices set on the IANNUA Website and must be paid by the Customer upon delivery. Therefore, it is recommended to review the import regulations of the Customer's country in this regard.

Shipping/transportation costs are NOT INCLUDED in the price of the Products. Before confirming and paying for the order, the final purchase price will be indicated. It will include applicable taxes, shipping costs, and other applicable expenses. In this regard, payments will always be made in advance of order shipment. IANNUA reserves the right not to ship the order until payment has been received and the right to temporarily suspend or definitively cancel the preparation or shipment of an order in the event of any issue with payment collection.

6.2 Payment Methods The accepted payment methods by IANNUA will be indicated on the Website. The Customer can choose the most convenient one. The Website will redirect the Customer to a secure platform for payment. The steps to complete the purchase will be explained.

IANNUA may make payment management platforms and/or tools provided by third parties available to the Customer.

In any case, IANNUA is not aware of the Customer's credit card data. All payment systems available to the Customer are completely secure.

6.3 Promotional Offers IANNUA may provide customers with discounts and promotional offers (hereinafter, the "Promotion/s"). These Promotions will have their own specific conditions and validity periods, which will be duly communicated to the Customer. The Customer agrees to verify the specific conditions and validity periods of each Promotion before making a purchase.

6.4 Invoices If the Customer wishes to request an invoice, they must contact IANNUA via email at hello@iannua.com, providing the email address to which they want the invoice sent in the body of the message.

6.7 DELIVERY Orders will be delivered to the address indicated by the Customer, based on the availability of the courier company. The customer will be notified of the approximate delivery date and time. Therefore, the delivery address provided to IANNUA by the Customer will be considered the place of delivery.

It is the Customer's responsibility to be available for delivery and, if necessary, coordinate with the courier company in accordance with the applicable conditions.

If it is not possible to deliver an order due to the Customer's absence at the provided address, the transport company will directly contact the Customer to arrange a new delivery.

However, the indicated delivery times are approximate and in no case binding on IANNUA. The delivery date depends on the availability of the Product and the shipping area and may be affected by unforeseen circumstances or factors beyond IANNUA's control, such as difficulties in delivering or other causes attributable to the carrier.

Orders placed through this Website will be sent via a courier company and will generally be delivered on business days (Monday to Friday).

For the purposes of these General Conditions, "delivery" or the order being "delivered" will be considered to have occurred when the Customer or a third party designated by the Customer acquires physical possession of the Products. This will be evidenced by the signature on the receipt of the order at the agreed delivery address.

6.8 IMPOSSIBILITY OF DELIVERY If your order has not been delivered for reasons not attributable to IANNUA, we will contact you. If, after thirty (30) days from making the item available to you, it has not been collected, or if you refuse to receive it, it will be considered abandoned.

When the impossibility of delivery is due to providing an incorrect address or, for reasons not attributable to the courier company or IANNUA, the cost of resending the order will be borne by the Customer.

9. TRANSFER OF RISK AND OWNERSHIP Once the Products are delivered, the risks associated with them will be at your expense.

The Customer will acquire ownership of the Products when we receive full payment of all amounts due in relation to them, including shipping costs, or at the time of delivery, if it occurs later.

10. RIGHT OF WITHDRAWAL AND REFUND POLICY The right of withdrawal is the consumer and user's (not applicable to legal entities) ability to cancel the contract, notifying the other contracting party within 14 natural days from the receipt of the purchased products or, in the case of services, from the purchase, without the need to justify their decision and without any penalty.

The Customer has the right to withdraw from the Agreement within 14 natural days from receiving the Products by the Customer or by a third party authorized by the Customer, without the need for justification.

However, for health and hygiene reasons, there will be no right of withdrawal if the products have been unsealed or do not have their labels and packaging. In such cases, the Customer cannot request a refund of the amounts paid.

In the event of exercising the right of withdrawal on all or some of the Products, IANNUA will refund the Customer the payments received without undue delay and, in any case, no later than 14 natural days from the date we are informed of their decision to withdraw from this Agreement. Excluded from the refund are additional costs resulting from the Customer's choice of a delivery method other than the least expensive ordinary delivery offered on the Website.

THE DIRECT COSTS OF RETURNING THE PRODUCTS SHALL BE BORNE BY THE CUSTOMER.

IANNUA will process the refund using the same payment method used for the initial purchase, unless the Customer has expressly provided otherwise. The Customer will not incur any penalties as a result of the refund.

11. RETURNS
The following return conditions for our products do not apply in the case of exercising the right of withdrawal.

In the event that the product(s) delivered do not have the characteristics or qualities indicated on our website or, in the case of a manufacturing defect or being in poor condition due to transportation or other issues, the Customer must contact IANNUA via email at hello@iannua.com, providing the order details and indicating the defects that, in their opinion, exist in the delivered product. IANNUA reserves the right, in this case, to request a photograph of the defects reported by the Customer.

In the case of non-conformity with the product(s), the Customer has the right, when possible, to replacement, a price reduction, or resolution of the agreement, which will involve the return of the product by the Customer and the corresponding refund of the amount paid. However, the Customer should be aware that these options may not always be possible and depend on the type of product.

IANNUA will reject returns communicated outside the specified period. The period is considered to have elapsed if more than 14 days have passed since the product was received, and it will be checked beforehand, upon acceptance, that the damage occurred without the fault or negligence of the Customer. Returns must always be accompanied by the corresponding delivery note or invoice.

When dealing with a minor non-conformity with the product, this Agreement will not be terminated.

Regarding the amounts paid for those products returned due to a defect, when it does exist, they will be fully refunded, including the expenses incurred to deliver the item to the Customer and the expenses that the Customer, if applicable, incurred to return it to IANNUA. The refund of the paid price will be made through the same payment method that the Customer used for the purchase.

12. LEGAL WARRANTY
All products are subject to the warranty provided by the product manufacturer, as well as the legal warranties provided by consumer and user regulations.

For the purposes of the legal warranty, delivery will be considered made on the day indicated on the invoice or the corresponding delivery note, if the latter is later.

It should be noted that, being a perishable item consumed with use, the warranty disappears with the product's consumption or disappearance.

Unless proven otherwise, it will be presumed that non-conformities that manifest within the two years following the delivery of the goods already existed when the goods were delivered, except when this presumption is incompatible with their nature or the nature of the non-conformity.

If the goods are not in conformity with the agreement, to bring them into conformity, the Customer will have the right to choose between repair or replacement, unless one of these options is impossible or, compared to the other corrective measure, involves disproportionate costs for IANNUA, taking into account all circumstances, as well as if the alternative corrective measure could be provided to the consumer or user without major inconveniences.

Corrective measures for bringing the product into conformity will be free of charge for the consumer or user Customer and will be carried out within a reasonable period and without major inconveniences for the Customer.

To exercise the warranty, the prior presentation of the purchase invoice or a document proving the purchase date is required.

13. LIMITATIONS OF LIABILITY
IANNUA acts as a mere facilitator or intermediary by providing customers with a website or platform for the sale of products and/or services manufactured or provided by third-party entities. In this regard, the final responsibility (unless the law provides otherwise) for defective products lies with the manufacturer of those products, as indicated on each of the packaging or containers.

In accordance with the above, unless expressly stated otherwise in these General Conditions, our liability regarding any product purchased through our website will be strictly limited to the price paid for that product.

14. INTELLECTUAL PROPERTY
IANNUA is the owner of all intellectual or industrial property rights, or has sufficient authorization, over the website and all its content, including, without limitation, trademarks, source code and object, designs, interfaces, texts, images, videos, or any other material, as well as the architecture, presentation, arrangement, and classification of the content of the website.

15. DATA PROTECTION
Any personal data that customers provide during the purchase through the website will be processed in accordance with our Privacy Policy and, in the case of accepting cookies, the Cookie Policy.

16. NOTIFICATIONS

All communication between the Parties will take place through the website or, where appropriate, by email to the contact addresses indicated by the Parties or by any means of which there is evidence of their receipt by the persons and addresses indicated.

The Customer is responsible for confirming the receipt of notifications and informing the Company of any changes to their data, with IANNUA being exempt from any responsibility arising from this circumstance.

17. MODIFICATIONS
IANNUA reserves the right to modify these General Conditions at any time and without prior notice. The introduced modifications will not have a retroactive effect.

These modifications will come into effect on the date of their publication on the website or, where appropriate, on the date indicated to the Customer.

IANNUA, to the extent possible, will attempt to notify any changes. Still, the Customer accepts the obligation to periodically review these General Conditions to be aware of such modifications and, in any case, before making purchases through the website.

18. MISCELLANEOUS
If any clause of these General Conditions is declared, in whole or in part, null or ineffective, such nullity or ineffectiveness will only affect that provision or the part thereof that is null or ineffective, with the Agreement remaining in force in all other respects, and such provision or the affected part thereof being deemed not included.

The headings of the different clauses are for informational purposes only and will not affect, qualify, or expand the interpretation of this Agreement.

IANNUA not requiring the Customer to comply with one of the conditions that it has contravened in this Agreement will not constitute a future waiver of the application of that clause, compliance with which may be demanded at any time.

The Customer acknowledges having read, understood, and agreed to these General Conditions, affirming that they are sufficient to exclude error in the consent of this Agreement and, therefore, accepts them in full and expressly.

19. INCIDENTS
If the Customer detects any defects or errors on the website or the products listed on it, they can contact IANNUA, indicating the detected defects/errors and attaching graphic proof where they can be appreciated for IANNUA to take appropriate actions.

In this regard, IANNUA does not guarantee that the availability of the website is continuous and uninterrupted, as there may be problems on the Internet network, breakdowns in computer devices, or other circumstances beyond IANNUA's control. Therefore, the Customer agrees to bear these circumstances within reasonable limits and expressly waives any contractual or extra-contractual claim against IANNUA for possible failures, errors, and the use of the website.

20. LANGUAGE, APPLICABLE LAW, AND JURISDICTION This Agreement may be provided to the Customer in various languages. However, in case of doubt or contradiction between different versions, the Spanish version published on the Website will prevail at all times.

This Agreement and its execution are subject to Swiss law.

If any controversy arises regarding the interpretation or application of these Terms of Use, the parties will negotiate in good faith to try to resolve such discrepancy or claim. However, in the event that the discrepancy or claim is not resolved, the parties will submit to the Courts and Tribunals of the city of Geneva (Switzerland), waiving any other jurisdiction that may be applicable to them. Except in cases where it concerns a consumer and user, in which case they will be subject to the Courts and Tribunals of their country of residence.
